The establishment of a resident representative office

1          申請書（原件）Application letter ( originals)

外國企業(yè)各向上海市工商行政管理局提出要求設(shè)立常駐代表機(jī)構(gòu)的申請，申請書必須由該企業(yè)的董事長或總經(jīng)理簽署。內(nèi)容包括：

A written application to Shanghai Industrial and Commercial Bureau, signed by the chairman of the board of directors or the general manager of the enterprise, the foreign enterprise’s registration information,

1.1         該外國企業(yè)注冊信息、公司名稱、地址、注冊日期、董事長姓名、聯(lián)系方式、經(jīng)營業(yè)務(wù)范圍、經(jīng)營情況介紹；

This Foreign enterprise message，corporate name, address, registration date, chairman name, contact method, do business scope, operating condition introduction;

1.2         設(shè)立常駐代表機(jī)構(gòu)的目的；常駐代表機(jī)構(gòu)名稱；**代表的姓名；常駐代表機(jī)構(gòu)地址；業(yè)務(wù)范圍(一般寫“從事××××方面業(yè)務(wù)聯(lián)絡(luò)”)。申請期限（一般3年）。

the goal of set up the representative office, the name of the representative office; Chief delegate name; address; The business scope (writes generally is “engaged in ×××× aspect service contact”). Application deadline (general 3 years).

2          任命書（原件）：Appointment letter ( originals)

2.1         任命書須由貴公司董事長或總經(jīng)理簽名，并在簽名旁邊打印上簽名者的印刷體的職稱，同時蓋貴公司的印章。

Chairman of Board of Directors or Managing Director of your company with their name should sign the appointment letter and titles typed aside bye the company’s s***p.

2.2         任命書須寫明任命者的姓名（以護(hù)照或身份證為準(zhǔn)）、具體職務(wù)和任職期限。

The appointment letter must clearly show the name of the person appionted (same as that in passport or ID card), the position assumed and its tenure.

3          **代表履歷The resume of chief representative

4          **代表的身份證及照片：The s***p and ID card of chief representative

**代表的有效身份證復(fù)印件：

①    港、澳地區(qū)：身份證＋回鄉(xiāng)證；

②    臺灣地區(qū)：通行證＋身份證；

③    其他國家：護(hù)照；

④    境外獲得外國長期居住資格的中國公民：護(hù)照＋長期居住證。

⑤    中國公民提供身份證，并提供有派員資格單位的證明（如外服）。。

⑥    **代表二張二寸照片。

The copy of chief representative’s effective ID card:

①The district of Hong Kong ,Macao: ID card + Home Return Permit;

②The district of Taiwan: ID card + Home Return Permit or pass;

③Other countries:Passport;

④Employee acts as chief representative: The comment of Foreign Service unit;

⑤The Chinese citizens who obtained the permanent residence permit in a foreign country :Passport+permanent residence permit.

Three pieces of 2-inch photos of chief representative needed.

5          外國（地區(qū)）企業(yè)所在國或地區(qū)的有關(guān)當(dāng)局出具的合法開業(yè)證明；

The legitimate certification for operation

5.1、       外國（地區(qū)）企業(yè)所在國或地區(qū)的有關(guān)當(dāng)局出具的合法開業(yè)證明，應(yīng)當(dāng)經(jīng)中國駐當(dāng)?shù)厥诡I(lǐng)館認(rèn)證，并提交認(rèn)證證明文件。
The legitimate certification for operation issued by the relevant government authorities of its host country. Must pass through the Chinese Embassy in the local legations , and submits the authentication certified copy.

5.2、  香港企業(yè)提交的合法開業(yè)證明和該企業(yè)委任常駐代表機(jī)構(gòu)人員的授權(quán)書應(yīng)經(jīng)香港的中國委托公證人公證，并經(jīng)中國法律服務(wù)（香港）有限公司審核簽章轉(zhuǎn)遞，并附以附件確認(rèn)本的證明文件。（地址：香港金鐘道95號統(tǒng)一中心32樓B室   TEL: 852-2827 9700）。

The company of HongKong should append commercial registration and register memo;

6          資信證明（原件）The capital credit certification (1 originals)

由同外國（地區(qū)）企業(yè)有業(yè)務(wù)往來的金融機(jī)構(gòu)出具的資本信用證明書；內(nèi)容包括：

①    公司名稱；

②    公司近一年來的往來情況；公司存款額;銀行提供貸款額;

③    銀行對該企業(yè)的信譽(yù)評價。

注：該證明文件必須是正本。

The capital credit certification issued by the bank, with which the enterprise maintains business contacts, the content includes:

①The name of the company;

②The figure place of amount of money of the exchanges in this year;

③The credit certification to the company by the bank.

Notice: The capital credit certification must be original.

7          外國（地區(qū)）企業(yè)常駐代表機(jī)構(gòu)設(shè)立登記申請書Application form

《外國（地區(qū)）企業(yè)常駐代表機(jī)構(gòu)設(shè)立登記申請書》由代理承辦單位在網(wǎng)上登記好后，由代表處**代表簽字。

Fill in “Application Form for the Establishment of Representative Offices of Foreign Enterprise” and “Application Form for Personnel of Representative Offices of Foreign Enterprise”(Filled in by the undertaking unit)

8          涉外辦公場所房屋租賃合同（原件）和加蓋產(chǎn)權(quán)單位公章的產(chǎn)權(quán)證（復(fù)印件），以及經(jīng)過房地產(chǎn)交易中心登記備案的《房屋租賃備案證明》；

The lease contract, and property certificate, and the certification of the office block concerning foreign affairs

9           涉外辦公大樓出具的《臺港澳、外國企業(yè)在上海市常駐代表機(jī)構(gòu)指定辦公場所》證書。以及“駐在證明”。(由涉外辦公大樓按照統(tǒng)一格式出具)。  

The certification of residence. (Filled by office block concerning foreign affairs according to the form of unifying)

10       外國（地區(qū)）企業(yè)委托代理機(jī)構(gòu)辦理的委托書。

The warrant from the foreign country (area).

11       上述5-6項(xiàng)文件必須由政府部門認(rèn)可的翻譯機(jī)構(gòu)翻譯成中文，其他文件如是英文書寫的話，可自行翻譯，并經(jīng)代理方蓋章即可。

Above-mentioned files must be translated into Chinese by the organization that is approved by the Committee of Foreign Trade and Economic in Shanghai, which has the authority to put forward the disinterested request to the operation certification and the capital credit certification provided by foreign businessman.
